Terms and Conditions

By accessing or using InstitutionERP (the 'Service'), you agree to be bound by these Terms and Conditions ('Terms'). These Terms apply to all users, including Institution administrators, teachers, staff, students, and parents who access the platform.

If you do not agree to these Terms, you must not use the Service. Use of the Service after any modification to these Terms constitutes acceptance of the updated Terms.

InstitutionERP is a cloud-based Institution management platform that provides tools for student management, fee collection, attendance tracking, admissions CRM, academics management, parent and student portals, and related functionalities.

The Service is provided on a subscription basis. Features available to you depend on the subscription plan you have selected.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice to subscribers.

To use the Service, you must register for an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials.

You are responsible for all activities that occur under your account. You must notify us immediately at hello@softmentum.com if you suspect any unauthorised access to your account.

You must not share your account credentials with unauthorised individuals or use the Service in a manner that violates applicable laws.

Access to InstitutionERP requires a paid subscription. Subscription fees are charged annually or monthly as per the agreed plan.

All fees are in Indian Rupees (INR) and are exclusive of applicable taxes (including GST). A GST invoice will be issued for all payments.

Subscriptions renew automatically unless cancelled at least 15 days before the renewal date.

We reserve the right to modify subscription pricing with 30 days' advance notice to existing subscribers.

Failure to pay subscription fees may result in suspension of the Service. Data is retained for 90 days after suspension before permanent deletion.

You agree to use InstitutionERP only for lawful purposes and in accordance with these Terms. You must not:

Use the Service to store, transmit, or distribute unlawful, harmful, or offensive content.

Attempt to gain unauthorised access to the Service, other user accounts, or related systems.

Use the Service in a manner that interferes with or disrupts the Service for other users.

Reverse engineer, decompile, or attempt to extract the source code of the platform.

Use the Service to collect or harvest personal information of students or parents beyond what is necessary for Institution management purposes.

All Institution data (student records, fee records, attendance data, etc.) entered into InstitutionERP remains the property of the Institution.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining appropriate consent from parents for processing student data.

We act as a data processor on behalf of the Institution (the data controller) for the purpose of student and Institution data.

You must not use the Service to process sensitive personal data beyond what is necessary for legitimate Institution management purposes.

InstitutionERP, its platform, design, features, and all related intellectual property are owned by us and are protected by applicable intellectual property laws in India.

Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service. This does not grant you any ownership rights over the platform.

Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us without obligation to compensate you.

We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted availability.

Scheduled maintenance windows will be communicated in advance. Emergency maintenance may be performed without advance notice.

We are not liable for any losses arising from Service unavailability due to circumstances beyond our reasonable control (including internet infrastructure failures, natural disasters, or government actions).

To the maximum extent permitted by Indian law, InstitutionERP's total liability for any claim arising from the use of the Service shall not exceed the subscription fees paid by you in the three months immediately preceding the claim.

We are not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or reputational harm.

Some jurisdictions do not allow limitation of liability, in which case the above limitations may not apply to you.

Either party may terminate the subscription at any time. Termination by the Institution takes effect at the end of the current billing period.

We may terminate your account immediately if you violate these Terms, fail to pay subscription fees, or engage in any conduct that we determine is harmful to the Service or other users.

Upon termination, you will have 90 days to export your Institution's data. After this period, data will be permanently deleted.

These Terms are governed by and construed in accordance with the laws of India.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If negotiation fails, disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the platform at least 30 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
